1. Scope and acceptance

These Terms and Conditions (hereinafter "the Terms") govern access to and use of the website wavenode.ai (hereinafter "the Site") and the contracting of services offered by Wavenode.

By accessing, browsing, or using any features of the Site, the user declares that they have read and fully accepted these Terms. If you disagree with any of them, please refrain from using the Site.

These Terms complement and should be read together with our Privacy Policy.

Wavenode is an agency specialized in designing and implementing AI-powered automation solutions for B2B companies. Our services include, but are not limited to:

• Process automation through end-to-end workflows with n8n and similar tools
• AI agent development trained on the client's data and context
• AI integration in CRM and sales processes (lead scoring, follow-ups, reports)
• Chatbots and conversational assistants for support, sales, and onboarding
• API integrations between legacy and modern systems
• Automated dashboards and reports for data-driven decision making

The scope, pricing, timelines, and specific conditions of each project will be established through a written proposal and contract between Wavenode and the client.

4. Conditions of use

By using the Site, the user agrees to:

• Use it lawfully, ethically, and in accordance with applicable regulations
• Not attempt to access restricted areas or third-party systems through the Site
• Not reproduce, copy, or distribute Site content without express authorization
• Not introduce viruses, malware, or other harmful elements
• Provide accurate and up-to-date information in the contact form

Wavenode reserves the right to suspend Site access to any user who violates these conditions.

5. Intellectual property

All Site content — including but not limited to texts, images, logos, designs, source code, animations, the "Wavenode" brand, and graphic elements — is the exclusive property of Wavenode or third parties who have authorized its use.

Total or partial reproduction, distribution, transformation, public communication, or any other form of exploitation of such content is expressly prohibited without prior written authorization from Wavenode.

Users may view Site content and make private copies for personal, non-commercial use, provided that intellectual property notices are not removed.

6. Contracting services

The process for contracting Wavenode services follows these stages:

• Request: the client completes the contact form or reaches out directly.
• Diagnostic: we conduct a free session to map needs and propose an approach.
• Proposal: we present a detailed proposal with scope, deliverables, timeline, and price.
• Contract: both parties sign a service agreement formalizing the agreed terms.
• Project start: once the contract is signed and the agreed deposit received, development begins.

These Terms do not by themselves constitute a service contract. Each project is governed by its specific contract, which will prevail over these Terms in case of conflict.

Payment conditions: unless otherwise agreed, projects are invoiced with a 50% deposit at the start and the remaining 50% upon delivery. Prices are quoted in Mexican pesos (MXN) or US dollars (USD) as agreed, plus applicable taxes.

7. Confidentiality

Wavenode commits to treating with strict confidentiality all information shared by the client during the diagnostic, proposal, and service delivery process, including business data, internal processes, systems, and commercial strategies.

This confidentiality obligation will remain in force during the business relationship and for a period of 3 years after its termination, unless the information becomes publicly available through legitimate means or there is a legal obligation to disclose it.

The client, in turn, agrees not to share Wavenode's proprietary methodologies, tools, or internal technical documentation with third parties without express authorization.

8. Limitation of liability

Wavenode makes every effort to ensure the quality, availability, and accuracy of information published on the Site. However, we do not guarantee that the Site is error-free, uninterrupted, or completely secure.

In particular, Wavenode shall not be liable for:

• Damages arising from use or inability to use the Site
• Service interruptions due to force majeure or third-party infrastructure failures
• Business decisions made based on information published on the Site
• Specific results from the use of implemented automations, beyond what is contractually agreed

Wavenode's total liability arising from service delivery shall be limited to the amount actually paid by the client for the project in question, unless otherwise expressly provided in the contract or in cases of proven fraud.

9. Third-party links

The Site may contain links to third-party websites (tools, integrations, reference articles). Wavenode does not control and is not responsible for the content, privacy policies, or practices of those external sites.

The inclusion of a link does not imply endorsement or association with the linked site. We recommend reviewing the terms and conditions of any third-party site you visit.

10. Modifications

Wavenode reserves the right to modify these Terms at any time to adapt to legal, commercial, or business changes. The current version will always be available on this page with the corresponding update date.

Continued use of the Site after modifications are published constitutes acceptance of the new Terms. If changes are substantial, we will notify active clients by email.

11. Governing law and jurisdiction

These Terms are governed by and interpreted in accordance with the laws of the United Mexican States, including the Federal Consumer Protection Law, the Commercial Code, and other applicable legislation.

For the resolution of any dispute arising from these Terms, the parties submit to the jurisdiction of the competent courts of Mexico City, expressly waiving any other venue that may correspond to them based on their current or future domicile.
